£165 MILLION PIPELINE

Updated: Mar 1, 2021

Learn how Sterling assisted SIG plc with a £165 million Private Investment in Public Equity (PIPE) capital raise, the City’s first since 2009.

SIG plc, a leading European distributor of specialist building products, sought to raise £165 million through a process of private investment in public equity, or PIPE, the first of its kind in the City of London since 2009.

Representing SIG plc: Lazard; Allen & Overy.

Representing Clayton, Dubilier & Rice: Clifford Chance.

Sterling was on hand to assist the participants in this deal not only during their confidential negotiations within one of our secure virtual data rooms but also for the final stages of financial document creation.

Sterling’s dual role in getting deals done

Sterling supports clients through our VDRs and our financial print facilities to deliver a seamless approach directed both at deal-making and document production. This dual role makes the entire process that much easier as our clients and their advisors are dealing with the same team throughout.

For this particular capital-raising exercise, we were contacted by Lazard, the financial advisory firm, who worked alongside City lawyers, Allen & Overy, on behalf of SIG plc.

Lazard’s initial approach was made to Sterling’s Laura Hollins whose role as Managing Director within Corporate Sales is to act as the primary contact for clients while deals are being negotiated as well as during the production of the final printed documents.

Laura Hollins builds trust with her clients in her central role and enjoys celebrating after a successful deal has been concluded:

“By establishing strong relationships with my clients, they know that the team at Sterling can be relied upon and so feel comfortable and calm even when a deal becomes stressful.

“And, whenever possible, I’m also available post-deal when clients want to join me for lunch or raise a glass of wine to celebrate.”

Seamless support for successful deals

The financial advisors, Lazard & Co Ltd, frequently use Sterling’s services and appreciate the level of support and expertise that we offer. Simon Chambers, a Director in the Lazard EMEA Equity Capital Markets group, was full of praise for Sterling’s involvement in helping them get deals done:

“Lazard ECM thoroughly enjoy working with Sterling and have the highest regard for Laura Hollins who provides us with impeccable service. Always calm and confident, she can be relied upon to coordinate the behind-the-scenes arrangements on our behalf and keep us fully informed so that even the most complex deals run smoothly.

“We use Sterling very regularly and would recommend them for transactions that require both VDR and Print, a unique and advantageous combination, as it makes the process all the more seamless.”

Meanwhile, speaking for SIG plc, Andrew Watkins, General Counsel and Acting Head of Corporate Development, had this to say about the Sterling service they had received:

“It’s good to know when entering into complex equity-raising arrangements that you can rely on a company such as Sterling to provide all the necessary support.

“The fact that Sterling offers well-managed virtual data rooms, where confidential material can be viewed securely by all the parties involved, as well as possessing all the required financial print expertise for the final documentation, gives me absolute confidence in using their services again for future projects of this nature.”

For over 30 years, Sterling has been at the forefront of financial print and, since 2009, at the heart of secure data control and information sharing within our award-winning Sterling Data Rooms.
